Terms and Conditions
1. Scope
- Any agreement is subject to Terms and Conditions that follow.
- TopHockeycards.com will in no time be bound by any written conditions, express or implied, arising in contract, insertion order or copy instructions when such conditions are contrary to or conflict with the terms and conditions set forth below.
2. TopHockeycards.com agrees to place advertising in accordance with the terms and conditions of this Agreement.
3. These are the only Terms and Conditions binding TopHockeycards.com and no verbal representations, warranties, covenant or agreement not contained herein shall bind the parties to this Agreement.
4. This Agreement may not be amended nor modified by the Advertiser unless by written document signed by the Advertiser and TopHockeycards.com
5. No waiver or amendment to any terms of this Agreement shall be valid unless in writing and duly signed by the parties hereto.
6. The Advertiser must, before the due date specified in the Insertion Order, submit all advertising materials to the following address:
TopHockeycards.com.
7. TopHockeycards.com does not guarantee priority placement or quality control for any advertising material received after the due date specified in the Insertion Order.
8. All advertising material must be submitted to TopHockeycards.com in the format that will be determined by TopHockeycards.com
9. Any advertising should be delivered to TopHockeycards.com, free and clear of all charges, including postage or shipping costs
10. The advertiser affirms that it has the right and is authorized by law to place any advertising as mentioned in the Insertion Order.
11. The Advertiser and its representatives are solely responsible for the content of advertisement. The Advertiser undertakes and agrees to reimburse TopHockeycards.com and cover for any legal fees and court costs that TopHockeycards.com might incur as a result of legal action or proceedings arising from content of its advertisement.
12. TopHockeycards.com reserves the right to refuse or delay the placement of any Advertisement for any reason whatsoever and / or make any corrections or changes it deems appropriate in the Advertisement without prior notice. TopHockeycards.com will not be responsible for the content of any advertising requiring language translation.
14. The advertiser has the right to replace and / or alter any advertisement which is referred to in the Insertion Order until the end date.
15. TopHockeycards.com reserves the right to add the word "Advertisement" or the mention "Advertising Supplement" at the top or bottom of any advertising that might cause confusion with the content on TopHockeycards.com
16. The advertiser recognizes and accepts that advertising can be broadcast at dates and times other than those specified in the Insertion Order.
17. TopHockeycards.com won’t preserve any original advertising material more than a month after the end of the advertising campaign.
18. No rebate or refund will be given in the event of an error in that does not affect the content of advertising. In the event that TopHockeycards.com is responsible for errors in the placement of advertising, the announcer will have the right to request that the advertisement be placed again in accordance with the original Insertion Order, at a time to be determined by TopHockeycards.com
19. All prices are subject to change without notice.
20. All payments must be made in Canadian currency at the address listed in the Insertion Order.
21. The Advertiser understands and agrees to pay all invoices within thirty (30) days of issuance. All invoices not paid within thirty (30) days will result in interest rate of 2.5% per month (30% per annum) thereafter. TopHockeycards.com reserves the right to terminate this Agreement at any time if the advertiser fails to pay all amounts due according to TopHockeycards.com the Terms and Conditions set forth herein.
22. In the event that the advertising material is not given to TopHockeycards.com according to the provisions of this Agreement, the advertiser remains responsible for paying all amounts owed to TopHockeycards.com following Terms and Conditions of the Insertion Order.
23. Notwithstanding any contract or agreement between the advertiser and a third, the advertiser is deemed to conclude the Insertion Order in its name and will be liable TopHockeycards.com in compliance with all obligations contained in this Agreement including but not limited to the payment of all monies owed by the advertiser under this Agreement.
24. Each party comprehends that this Agreement may be terminated by giving the other party written notice of two (2) months prior to the first date specified in the Campaign Insertion Order. Any termination will not feasible after the due Date.
25. All Insertion Order featured on the home page or any special positioning cannot be canceled at any time.
26. This Agreement shall be governed, interpreted and put enforced only in accordance with the laws of the Province of Quebec. The parties hereto irrevocably agree to submit any dispute concerning this Agreement to the jurisdiction of the courts of the Province of Quebec.
